Software License Agreement:

By opening the accompanying package containing the Mips Dataline Technologies GmbH and/or TDPS (defined below) ("MDT") software product in object code form (the "Software" or "Program"), you will acquire a license to use the Software and materials in accordance with the terms and any updates or maintenance releases thereto, and subject to the restrictions, contained in this license. BEFORE OPENING THE PACKAGE CONTAINING THE SOFTWARE, PLEASE CAREFULLY READ THIS LICENSE AGREEMENT, WHICH CONTAINS THE TERMS AND CONDITIONS UNDER WHICH YOU ARE ACQUIRING A LICENSE TO USE THE SOFTWARE. IF YOU DO NOT ACCEPT THE TERMS AND CONDITIONS OF THE LICENSE AGREEMENT, PLEASE RETURN THE SOFTWARE AND PACKAGING AND ALL OTHER MATERIALS PROMPTLY TO THE PLACE OF PURCHASE FOR A FULL REFUND OF THE LICENSE FEE PAID FOR IT. IF YOU OPEN THIS PACKAGE, YOU WILL BE ACQUIRING A LICENSE TO USE THE SOFTWARE IN ACCORDANCE WITH THE TERMS AND CONDITIONS OF THIS LICENSE, AND YOU WILL HAVE ACCEPTED AND AGREED TO THESE TERMS AND CONDITIONS.

1. License

In consideration of the payment of the license fee, which is part of the price you paid for this program, MDT is authorized to grant to you a non-exclusive license to use and display this copy of the Program and the enclosed materials, subject to the following terms and conditions: The copyright and all other right, title and interest in the Program and materials shall at all times remain with MDT or its authorized third party technology development partners (collectively, "TDPS"). Physical copies of the Program remain the property of MDT and such copies are deemed to be on loan during the term of this Agreement. You must fully reproduce any copyright or other notice marked on any part of the Program on all copies and must not alter or remove any such copyright or other notice on the original copy of the Program. MDT and its TDPS reserve all rights not expressly granted to you.

1A. Online Services and Communities

The Software includes features that allow you to work with other people, including other Internet users, in your sole discretion. Please exercise good judgement when interacting with other Internet users or third party services. Due to the anonymous nature of the Internet, other Internet users or third party services may not be who they say they are, may not make truthful representations to you, may not be affiliated with whom they say they are and may not be engaged in lawful activities. It is your responsibility to exercise due care when dealing with others, whether face to face, via the Internet or any other means of communication.

You are prohibited from using MDT products in any manner incompliant or in breach of applicable laws in your region. Additionally, you understand and agree to indemnify and hold MDT harmless against any claims or lawsuits, including (without limit) attorney's fees, that arise from or result from your use of the MDT products in manners not provided for in this Agreement.

2. Permitted Uses

You may:
(a) use the Program on any single computer at a single location.
(b) make one copy of the Program in machine-readable form, for backup purposes only.
(c) Transfer your right to use the Program to a third party, provided you assign all your rights under this Agreement, cease all use of the Program and notify us of the name and address of the other party, and the other party agrees to accept the terms and conditions of this agreement.

You may not:
(i) sublease, lease, sell, distribute, rent or grant other rights to the Program;
(ii) provide use of the Program in a computer service business, network, time-sharing, interactive cable television, multiple-CPU or multiple-user arrangement to users who are not individually licensed by MDT ;
(iii) make copies of any materials provided, except as provided in Section 2 above;
(iv) sell forms or other materials generated in conjunction with the Program to third parties(please contact MDT directly if you wish to be licensed to create a forms based business solution for your customers using MDT software);
(v) translate, reverse-engineer, decompile or disassemble any part of the Program; or
(vi) modify or adapt, or create derivative works based on, any part of the Program.

3. Registered User

Upon receipt by MDT of the Registration Form included in this package, signed by you, or after completion and submission of the online registration form available in the Help Menu of the program, you will be registered as a user of the Program. Registered users are entitled to the applicable MDT online support plan from the date they registered the software. Additional annual or per incidence support plans are available on a fee basis and may be purchased at the VersaCheck web site for technical support.

4. Limited Warranty

For a period of 30 days, from the date you acquired your copy of the Program, MDT warrants that: the Compact Disks ("CD's" or "DVD's") are not defective, and the Program is properly recorded on them.

YOUR SOLE REMEDY UNDER THIS LIMITED WARRANTY IS TO RETURN, WITHIN THE WARRANTY PERIOD, THE DEFECTIVE CD FOR REPLACEMENT. THIS LIMITED WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, WRITTEN OR ORAL, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABLE QUALITY, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND THOSE ARISING BY STATUTE OR FROM A COURSE OF DEALING OR USAGE OF TRADE. MDT DOES NOT WARRANT THAT THE PROGRAM WILL BE ERROR-FREE OR THAT ITS OPERATION WILL BE UNINTERRUPTED. EXCEPT AS PROVIDED
ABOVE, THIS SOFTWARE AND ANY RELATED SERVICES ARE PROVIDED "AS-IS", AND TO
THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MDT DISCLAIMS ALL OTHER
REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, REGARDING THIS SOFTWARE, DISK(S), RELATED MATERIALS AND ANY SERVICES, INCLUDING THEIR FITNESS FOR A PARTICULAR PURPOSE, THEIR QUALITY, THEIR MERCHANTABILITY, OR THEIR NON-INFRINGEMENT. MDT DOES NOT WARRANT THAT THE SOFTWARE IS FREE FROM BUGS, VIRUSES, ERRORS, OR OTHER PROGRAM LIMITATIONS, NOR DOES MDT WARRANT ACCESS TO THE INTERNET OR ANY OTHER SERVICE THROUGH THE SOFTWARE.

THE WARRANTIES IN THIS AGREEMENT GIVE YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHER RIGHTS, WHICH VARY FROM JURISDICTION TO JURISDICTION.

THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE PROGRAM AND USE OF THE MATERIALS IS ASSUMED BY YOU. MDT SHALL NOT HAVE ANY LIABILITY TO YOU OR ANY OTHER PERSON OR ENTITY FROM ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE OR PROFIT, LOST OR DAMAGED DATA, OR OTHER COMMERCIAL OR ECONOMIC LOSS, EVEN IF MDT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; NOR SHALL MDT 's AGENTS, REPRESENTATIVES OR THIRD PARTY TECHNOLOGY DEVELOPMENT PARTNERS HAVE SUCH LIABILITY. MDT 's MAXIMUM AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE LICENSE FEE PAID BY YOU FOR THIS COPY OF THE PROGRAM.


5. Term

The license granted under this agreement shall remain in effect until terminated. You may terminate the license at any time. MDT may terminate the license due to your failure to comply with any of the provisions of this Agreement. Upon termination, you agree to return to MDT all copies of the Program and materials.

6. Government End Users

If the Program is acquired by or on behalf of a unit or agency of the United States Government, this provision applies. The Program: (i) was developed at private expense, and no part of it was developed with government funds; (ii) is a trade secret of MDT and/or its TDPS for all purposes of the Freedom of Information Act; (iii) is commercial computer software subject to limited utilization (Restricted Rights) as provided in the contract between the vendor and the government entity; and (iv) in all respects is proprietary data belonging solely to MDT or its TDPS.

For units of the Department of Defense (DOD), the Program is licensed only with Restricted Rights as that term is defined in the DOD supplement to the Federal Acquisition Regulations (DFARS) 52.227-7013 (c)(l)(ii) and use, duplication or disclosure is subject to restrictions as set forth in the Rights in Technical Data and Computer Software clause at DFARS 52.227-7013. Manufacturer/Licensee: MDT;

If the Program was acquired under a GSA Schedule, (i) the U.S. Government must refrain from changing or removing any insignia or lettering from the Program that is provided or from producing copies of manuals or disks (except one copy for backup purposes); (ii) title to and ownership of the Program and any reproductions thereof shall remain with MDT and/or its TDPS; (iii) use of the Program shall be limited to the facility for which it is acquired; and (iv) except as specifically stated in the contract between the vendor and the government entity under which this copy was licensed, use of the Program shall be limited as Commercial Computer Software-Restricted Rights as set forth in Federal Acquisition Regulation 52.227-19.

U.S. Government personnel using the Program, other than under a DOD contract or GSA Schedule, are hereby on notice that use of the Program is subject to restrictions which are the same as, or similar to, those specified above.

MDT Software is a "commercial item," as that term is defined at 48 C.F.R. 2.101 (OCT 1995), consisting of "commercial computer software" and "commercial computer software documentation," as such terms are used in 48 C.F.R. 12.212 (SEPT 1995). Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227-7202-1 through 227-7202-4 (JUNE 1995), all U.S. Government End Users acquire the MDT Software (or Licensed Product) with only those rights set forth herein.

Export Restrictions

You acknowledge and agree that the MDT Software is subject to restrictions and controls imposed by the Export Administration Act and the Export Administration Regulations ("the Acts"). You agree and certify that neither the MDT Software nor any direct product thereof is being or will be used for any purpose prohibited by the Acts. You agree and certify that you are not a citizen or permanent resident of the following countries: Cuba, Iran, Iraq, North Korea, Libya, Sudan, Afghanistan or Syria.



7. Limited License Software
For use in the explanation of the MDT Product License Account Manager and its functions, limited license software means software in which one or more features have been constrained to offer a limited number of uses based upon entering an activation code. For example VersaCheck Presto™ software will allow you to print a certain number of checks per use of a single activation code. Once that number of checks printed is reached, a new activation code must be entered and activated in order to continue using the software to print checks. The number of uses per activation code varies for different types and levels of products such as our VersaInk bundled with UltraSaver software.

8. Online Services

"Online Services" accessible through MDT applications are provided by MDT or select third parties. Financial services are provided by your financial institution or other third party, and not MDT

In some versions of the MDT Software, access to Online Services can be through the optional use of a user name/password key pair (the "KEY"). KEY's are kept under high security, but factors such as a well-chosen password, physical security for your computer and proper safeguards when you use a network or the Internet are all important. Because most of these factors are beyond MDT 's control, you agree that MDT is not liable for safeguarding your KEY data.

You agree not to hold MDT liable for any loss or damage of any sort incurred as a result of any such dealings with any services provided by your financial institution or other third party. Your access may be limited from time to time, depending on the service provided by your internet service provider or your financial institution or other third party. You agree to be responsible for all telephone charges associated with your Internet and online service usage. You may be required to register with MDT or a third party in order to use Online Services. Your use of Online Services may be subject to additional terms and conditions. All Online Services are subject to change. You agree that the preferred method of communication between you and MDT is via email, and MDT has the right to communicate up-to-date information, update notices and offerings, that are relevant for you as a MDT customer. You may elect to change your method of communication with MDT at any time, by contacting MDT using telephone, (310-803-9562) or email (sales@versacheck.com), or visit our website at www.versacheck.com.

The limitations of damages set forth above are fundamental elements of the basis of the bargain between MDT and you. MDT would not be able to have provided this product or services without such limitations.

9. Governing Law

The governing law of this agreement is based on the laws of the state in which the MDT authorized Copyright Authority is registered. Disputes and suits must be filed and settled n the state and place of business in which the MDT authorized Copyright Authority is registed. For inquiries please contact:

10. Severability

If any provision of this Agreement is found to be invalid or unenforceable, such provision shall be severed from this Agreement and the remaining provisions shall remain in full force and effect.

11. Product Information

The customer agrees to accept information provided by MDT for new products and product updates by e-mail, regular mail or any other conventional or electronic means of communication.

The software cannot be installed unless the user agrees to all provisions of this License Agreement; accordingly, all users of our software products have agreed to, and are bound by, all the above provisions.
